Because they are members of an agency of government whose powers and duties can only be exercised by a decision of the majority of Board of Education membership when the Board of Education is officially in session, the members of the Board of Education and its employees act as agents of the Board of Education. None of these individuals should be placed in a position of personal liability for the performance of the responsibilities vested in them by the voters.

Therefore, in order to protect the individual members of the Board of Education, its agents, and the educational interests of the District, the Board of Education will purchase, in the absence of governmental immunity, or in addition to governmental immunity, from public school funds, adequate insurance to indemnify Board of Education members and agents of the Board of Education for their official actions in the service of the District.
